Terms & Conditions

This is the agreement between you and ZRIX INC. for SharEarn. It is written to be read. If a clause here is unclear, that is our failure and not yours — write to us and we will explain it in plain words.

The short version

In one paragraph Use SharEarn for greetings, promotion and community work, not to impersonate anyone or to mislead. The artwork on a card belongs to whoever drew it; your name, photo and business details stay yours; the finished card is yours to share. You are free to leave at any time. We can suspend an account that is being abused. If we disagree, we talk first; if that fails, the courts of Harris County, Texas will decide.

Who this agreement is between

SharEarn is operated by ZRIX INC., 17926 HWY 3, Suite 104B, Webster, TX 77598, United States. Where this page says we, us or our, it means ZRIX INC. Where it says you, it means you — and, if you are using SharEarn for a company, association or other body, it means that body too, and you are confirming you have authority to bind it.

These terms cover the SharEarn app, the sharearn.com website, the creator portal at portal.sharearn.com and the SharEarn render API. By creating an account or using any of them, you agree to these terms. If you do not agree, please do not use SharEarn.

Who may use SharEarn

  • You must be at least 13. Where the law that applies to you sets a higher age for agreeing to something like this — 18 in India, or 16 in parts of Europe — you must meet that age, or a parent or guardian must agree on your behalf and accept these terms with you.
  • You must give a working phone number you control, and confirm it with the code we send.
  • You must not be barred from using our service by the law of your own country, or by trade sanctions that bind ZRIX INC.

Your account

Your account is identified by your phone number. Keep access to that number and to the email address on your account, and to the one-time codes we send to either — anyone who has both can reach your account. Tell us at once, at info@zrix.com, if you think someone else has got in.

One person, one account. Do not create accounts in bulk, do not create an account in someone else's name, and do not hand your account to somebody else to use as their own.

You can leave at any time. See the Data Deletion Policy for what happens to your details when you do.

What you may and may not put on a card

The point of SharEarn is that a card carries the person who sent it. That only works if the person on the card is real and is you. So:

You may

  • Put your own name, photo, business, designation and contact details on a card.
  • Share cards for festivals, greetings, occasions, promotion of your own lawful business, and the work of an organisation you actually belong to.
  • Share cards as widely as you like, to anyone who is willing to receive them.

You may not

  • Impersonate anyone. No other person's name, face, signature or credentials. No pretending to hold an office, a qualification or a post you do not hold.
  • Use a brand, logo or mark you have no right to use — including ours, and including an organisation you are not part of.
  • Put someone else's photograph on a card without their agreement.
  • Mislead. No false claims about a product, a price, a qualification, a charitable appeal or an official status. No cards designed to look like an official or government communication.
  • Publish unlawful, hateful, obscene, defamatory or threatening content, or anything that incites violence or targets a person or group for who they are.
  • Send cards to people who have not asked for them, at scale, or in any way that breaks the messaging or telemarketing law where you are or where they are.
  • Game an earning programme — artificial clicks, automated traffic, self-clicking, incentivised clicking, or any arrangement whose purpose is to move a number rather than reach a person.
  • Attack the service — no scraping at scale, no reverse engineering, no probing or circumventing our limits or security, no reselling access, and no using SharEarn to build a competing product from our own data.

Content on SharEarn is user content. We do not check every card before it goes out, and we are not the author of what you make. Where we are told that something breaks these rules, we will look at it and act. Where a card has already been shared, the most we can do is stop it being made again — the copies already sent are beyond our reach, and beyond yours.

Who owns what

Three different things sit on one card, and they belong to three different people. This matters, so it is set out plainly.

The thingWhose it isWhat that means here
Your details — name, photo, business, logo, contact lineYoursYou give us permission to put them on the cards you ask for, and to show them to an organisation you belong to where this is explained in the Privacy Policy. Nothing more. That permission ends when you delete them.
The artwork on the designThe creator's, or the organisation's, or oursSharing a card does not make the artwork yours. You may not extract it, re-use it blank, sell it, or pass it off as your own work.
The finished card, with your details composed into itYours to useShare it, post it, print it, put it in a status. That is what it is for. You may not sell it as artwork or licence it to anyone else.
The SharEarn name, logo, software, API and calendar dataOursUsing the service gives you no right in any of it beyond using the service itself.

You keep every right you already had in what you upload. By uploading, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, resize, compose and deliver it — for the sole purpose of running SharEarn for you. We do not use your photo or your business in our own advertising without asking you first.

If your work or your likeness has been used without permission

Write to the Copyright Agent, ZRIX INC., at info@zrix.com with IP complaint in the subject line, or at the registered office above. Under the United States Digital Millennium Copyright Act, please include:

  • Your signature, physical or electronic.
  • What work you say has been infringed, and where it can be found.
  • Where the infringing material is on SharEarn, in enough detail for us to find it.
  • Your name, address, telephone number and email.
  • A statement that you believe in good faith the use is not authorised.
  • A statement, made on penalty of perjury, that the information is accurate and that you are the rights owner or authorised to act for them.

We act on a complete notice promptly, remove or disable what is complained of, and tell whoever posted it, who may send us a counter-notice. We terminate the accounts of repeat infringers. The same address handles a complaint that your photograph or name has been used on a card without your permission — that does not need a DMCA notice, just a clear message from you.

If you publish designs

  • Creator accounts are self-served. You create one on sharearn.com and it is active immediately, with no approval by us; you sign back in afterwards with a one-time code sent to you on WhatsApp or by email. The creator portal has its own records and its own sign-in, and creating an account here does not by itself grant you access to it. We may withdraw access.
  • You must own, or hold a licence covering, everything in a design you submit — the illustration, the photography, the fonts and any mark. You are responsible for that, and you confirm it each time you submit.
  • Submitting a design is what publishes it, and we do not promise that each one is read by us first. Where a design belongs to an organisation, it is that organisation's admin who publishes it. We may decline a design, ask for a change, or unpublish one later — including because of a rights complaint.
  • Your artwork stays yours. You give us a non-exclusive licence to publish it on SharEarn and to compose sharers' details into it. You can ask us to unpublish a design at any time; cards already made from it are already made.
  • Creator earning. SharEarn intends to pay creators for popular designs, and every share of your design is counted and credited to you, per design. No rate, percentage, threshold or payment schedule has been settled yet, so nothing on this site promises one. When they are settled, they will be published in writing as a separate creator agreement, and we will not ask you to rely on a figure before it exists. Until then, publishing a design earns you the count, and no money is owed to you or by you.

If you bring an organisation

  • You confirm you are authorised to act for the organisation, and to accept these terms for it.
  • Your shelves and designs are private to your organisation. You are responsible for the rights in the artwork you upload, exactly as a creator is.
  • You are responsible for your members' use of SharEarn through your organisation, and for telling them what you can see about their sharing — the Privacy Policy sets out what that is.
  • Where you give us your members' personal details, you are the controller of them and we act on your instructions. You confirm you have a lawful basis for giving them to us.
  • Member reporting is a feature of the Advanced plan, and it shows your own members and your own cards only.

Plans, payment and taxes

Current plans and prices are on the pricing page, which forms part of these terms.

  • Personal sharing is free, and we intend to keep it that way. Paid plans add business branding, member scale and API access.
  • Fees are payable in advance for the period you choose and are not refundable for a period already begun, except where the law gives you a refund right or where we have failed to provide the service.
  • Prices exclude taxes unless we say otherwise. Where GST, VAT, sales tax or a withholding applies, it is added or accounted for as the law requires.
  • Payment is taken by a payment processor. Their handling of your card details is covered by their own terms; we do not store your card number.
  • If we change a price, we will tell you before it applies to you, and you may cancel rather than accept it.
  • If payment fails, we may suspend the paid features after telling you. Your free features and your account stay.

If you join an earning programme

  • Joining is optional, and an earning programme is run by whoever offers it — sometimes us, sometimes an organisation.
  • A credited click is not a promise of money. What a credit is worth, and when it is paid, is set by the programme's own terms, which you accept when you join it.
  • We may withhold or reverse credits we conclude are artificial, and we will tell you why. A person reviews that before anything is withheld from you, and you may put your side to us.
  • A ledger balance is not a deposit, is not held for you as money, and earns no interest.

If you use the API

  • Keep your API key secret. Calls made with your key are your responsibility.
  • Stay inside your rate limits and plan entitlements, and do not work around them.
  • You are the controller of your own users' details. SharEarn stores nothing about them — the details arrive, the card is rendered, the card goes back. You must have a lawful basis for sending them, and your own privacy notice must cover it.
  • We may change the API with notice. We will not break a working integration without a reasonable migration period, and we will publish it.
  • Do not use the API to build a service that substitutes for SharEarn itself.

Availability, and changes to the service

We work to keep SharEarn up and quick, and we do not promise it will never be down. Maintenance happens, and so do failures. Where we plan downtime that will affect you, we will say so in advance.

SharEarn is being built. Features will be added, changed and sometimes removed. Where we remove something you rely on, we will tell you, and on a paid plan we will give you reasonable notice and a way out.

Anything described on this site as coming is not promised. Nothing on this site that is described as working is anything other than working.

Ending this agreement

  • You may stop at any time, by deleting your account. See the Data Deletion Policy.
  • We may suspend or close an account that breaks these terms, that is being used to impersonate, mislead or abuse, or where we are required to by law. Except where the breach is serious or unlawful, or where telling you first would defeat the point, we will tell you what the problem is and give you a chance to fix it. Where we close a paid account for a reason that is not your breach, we refund the unused part of the period.
  • On ending, your right to use SharEarn stops. Your personal details are dealt with as the Data Deletion Policy says. Cards already shared are unaffected — nobody can recall those.
  • The clauses that are meant to outlive this agreement — ownership, disclaimers, liability, indemnity, governing law and dispute resolution — carry on after it ends.

What we do not promise

SharEarn is provided as it is. To the fullest extent the law allows, we make no warranty that it will be uninterrupted, error-free, or fit for a particular purpose of yours, and we disclaim the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Specifically, and plainly:

  • We do not promise a card will earn you business, a follower, a click or a rupee.
  • We check movable festival dates against the panchang and we publish what we have verified, but a date on a shelf is information, not religious or legal advice. Check anything that matters for a ritual or an observance with your own authority.
  • We do not promise every occasion has artwork on it. Coverage is stated honestly on the occasions page, and it changes.
  • We do not promise a design you like will still be there tomorrow, because a creator may withdraw it or a complaint may take it down.

Nothing here excludes liability that cannot lawfully be excluded — for death or personal injury caused by negligence, for fraud, or any right you have as a consumer that the law will not let us take away.

Limits on liability

To the fullest extent the law allows:

  • Neither side is liable to the other for indirect or consequential loss — lost profit, lost revenue, lost business or goodwill, or loss of data — even if it was foreseeable.
  • Our total liability to you for everything arising out of this agreement is limited to the greater of the fees you paid us in the 12 months before the claim, or US$100. If you have paid us nothing, US$100 is the limit.
  • We are not liable for what someone else does with a card you shared, or for a card another user made.

These limits do not apply to the matters listed at the end of the section above, which cannot lawfully be limited.

If your use costs us something

If someone makes a claim against us because of what you put on a card, what you uploaded, or your breach of these terms, you will cover our reasonable losses, costs and legal fees in dealing with it. In return: we will tell you promptly about any such claim, we will not settle it in a way that binds you without your agreement, and you may take over the defence of it with counsel of your choosing. This clause does not apply to a claim that arises from our own breach or our own content.

If we disagree

Talk to us first. Write to info@zrix.com setting out what has gone wrong and what you want done. We will reply, and both sides agree to try in good faith to settle it between us for 30 days from that message before going any further. Most disputes end here, and this step costs nobody anything.

If 30 days pass without agreement, either side may take it to court as set out below. Nothing in this clause stops either side from asking a court urgently to stop something — an injunction to protect intellectual property or account security — without waiting.

Governing law and where a claim is heard

These terms, and any dispute arising out of them or out of your use of SharEarn, are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Both sides agree that any claim will be brought in the state or federal courts sitting in Harris County, Texas, and each side consents to the personal jurisdiction of those courts and waives any objection that they are an inconvenient forum.

Two exceptions, and they favour you. First, if you are a consumer, this clause does not take away any right you have to the protection of the mandatory law of the country you live in, nor any right you have to bring a claim in your own local courts where the law of that country gives you that right and will not let you sign it away. Second, if you are in India, nothing here displaces your right to approach a consumer forum under the Consumer Protection Act, 2019, the Grievance Officer named in the Privacy Policy, or the Data Protection Board of India.

Each side brings a claim on its own behalf, not as a representative of a class, to the extent that is enforceable where you live.

The usual clauses, briefly

  • Force majeure. Neither side is in breach for a delay or failure caused by something genuinely outside its control — natural disaster, war, civil disturbance, epidemic, a failure of the public internet or of a utility, or an act of government. We will tell you, and do what we reasonably can to work around it.
  • Severability. If a court finds one clause unenforceable, that clause is cut back only as far as necessary, and the rest stands.
  • No waiver. If we do not enforce something straight away, we have not given up the right to enforce it later.
  • Assignment. You may not transfer this agreement without our written consent. We may transfer it to a group company, or to whoever takes on the business, and we will tell you if we do.
  • Entire agreement. These terms, the Privacy Policy, the Data Deletion Policy, the pricing page, and any programme or plan terms you accept, are the whole agreement between us on this subject, and they replace anything said beforehand. Nothing in this clause limits liability for a statement made fraudulently.
  • No partnership. Nothing here makes either side the other's agent, partner or employee.
  • Notices. We reach you at the phone number or email address on your account, or in the app. You reach us at info@zrix.com, or at the registered office above. A notice by email takes effect the next working day.
  • Language. These terms are written in English. Any translation we provide is for convenience, and the English text governs.
  • Order of precedence. If a plan or programme term contradicts these terms, the specific term wins for that plan or programme only.

Changes to these terms

We may change these terms. The date at the top of this page will change with them. Where a change materially affects your rights, we will give you at least 30 days' notice in the app or by email before it takes effect, and if you do not accept it you may close your account — and on a paid plan, get back the unused part of what you paid. Carrying on using SharEarn after a change takes effect means you accept it.
